Expert Registrar of Companies (ROC) compliance services for Indian companies. From annual filings to event-based compliance, we manage all your ROC obligations with precision and timeliness.
The Registrar of Companies (ROC) is the regulatory authority under the Ministry of Corporate Affairs (MCA) responsible for registration and regulation of companies in India. Every company registered under the Companies Act 2013 must comply with various filing requirements — both annual and event-based — with the ROC. These filings form the public record of the company's activities, financial health, and governance practices.
ROC compliance is not just a statutory obligation; it is a critical indicator of your company's governance standards. Investors, lenders, and business partners routinely check ROC filings to assess a company's compliance history before entering into business relationships. Non-compliance not only attracts heavy penalties but can also lead to director disqualification and company strike-off.
ComplianceBridge Advisory provides end-to-end ROC compliance services that cover the entire spectrum of filing requirements — from annual returns and financial statements to event-based filings triggered by corporate actions. Our team of qualified Company Secretaries manages the entire ROC filing process, including form preparation, MCA portal navigation, digital signature management, and post-filing follow-ups.
These filings must be made every year regardless of any changes in the company. Timely filing is critical to avoid penalties and maintain good standing.
Every company must file its financial statements with the ROC within 30 days from the date of the Annual General Meeting. The financial statements include the balance sheet, statement of profit and loss, cash flow statement, notes to accounts, and the auditor's report.
Every company must file its annual return with the ROC within 60 days from the date of the Annual General Meeting. The annual return contains details of the company's registered office, share capital, members, directors, and changes during the financial year.
Every individual holding a DIN as on March 31 must file DIR-3 KYC by September 30. This ensures the MCA has current information about all directors. DIN gets deactivated if KYC is not filed.
Every company must file a return of deposits and transactions not considered as deposits with the ROC. This includes details of outstanding loans, debentures, and other monies received by the company.
Certain corporate events trigger filing obligations with the ROC. These must be filed within 30 days of the event occurring.
Appointment, resignation, or change in director details — Form DIR-12 within 30 days.
Shifting registered office within state (INC-22) or from one state to another (INC-23).
Increase in authorized share capital — Form SH-7 within 30 days of passing special resolution.
Issue or allotment of shares — Form PAS-3 within 30 days of allotment.
Any change in memorandum or articles of association — Form MGT-14 within 30 days.
Removal of director before expiry of term — Form DIR-12 with required documents.
The Companies Act 2013 mandates every company to maintain certain statutory registers and records at its registered office. These registers must be kept up-to-date and available for inspection by members, directors, and regulatory authorities. ROC compliance refers to all statutory obligations that a company must fulfill with the Registrar of Companies (ROC) under the Companies Act 2013. This includes annual filings (AOC-4, MGT-7), event-based filings, maintenance of statutory registers, and adherence to MCA regulations.
The key annual filings include: AOC-4 (financial statements) within 30 days of AGM, MGT-7/MGT-7A (annual return) within 60 days of AGM, DIR-3 KYC (director KYC) by September 30, DPT-3 (return of deposits) by September 30, and ADT-1 (auditor appointment) within 15 days of AGM.
Event-based filings are triggered by specific corporate events such as change in directors (DIR-12), change in registered office (INC-22), increase in authorized capital (SH-7), issue of shares (PAS-3), and changes in MOA/AOA. These must be filed within 30 days of the event.
Late filing attracts additional fees of ₹100 per day for each form until the filing is completed. For example, if AOC-4 and MGT-7 are both filed late, the combined penalty accrues at ₹200 per day. The total penalty can become very significant over time.
We provide end-to-end ROC compliance services including compliance calendar setup, document preparation, form filing on MCA portal, statutory register maintenance, and ongoing advisory. Our team ensures all filings are completed accurately and within prescribed timelines.
